(the “Company”) under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), hereby constitutes and appoints each of Bryan Lea, Neil Jasani and Frank Vellucci, acting individually with full power of substitution, as the undersigned’s true and lawful attorney-in-fact to:
